Terms of Service

Last updated: October 9, 2026

These Terms of Service (“Terms”) govern your access to and use of the WeCloseBooks website, platform, and services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms.

1. Use of the services

WeCloseBooks provides client readiness tools for bookkeeping, CAS, and accounting firms. You may use the Services only for lawful purposes and in accordance with these Terms.

2. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use.

3. Customer data

You retain ownership of the data and documents that you and your clients upload to the Services (“Customer Data”). You grant us a limited license to host, copy, transmit, and process Customer Data only as necessary to provide, maintain, secure, and support the Services for you, as described in our Privacy Policy. We do not sell Customer Data or use it to train or fine-tune AI models. We may use aggregated usage information that contains no Customer Data and does not identify you, your clients, or any individual to improve the Services.

4. AI features

The Services include features that use third-party AI models, such as document identification, tax return data extraction, and questionnaire review. By using the Services, you instruct us to send the relevant Customer Data to the AI providers that power these features. They act as our subprocessors, as described in our Privacy Policy.

AI output may be incomplete or inaccurate. It is provided to assist your work and is not tax, legal, or accounting advice. You are responsible for reviewing AI output against the source documents before relying on it, including before filing any return or advising any client.

5. Your responsibilities for client data

You are responsible for having the right to upload Customer Data to the Services and for giving any notices to, and obtaining any consents from, your clients that applicable law or professional standards require, including for processing by AI providers. This includes any consent required under Section 7216 of the Internal Revenue Code and its regulations, and your obligations under the FTC Safeguards Rule and applicable confidentiality rules.

6. Fees and payment

Subscription fees, billing terms, and any implementation charges are described in the order form or agreement accepted by the customer. Fees are non-refundable unless otherwise stated there or required by law.

7. Confidentiality and security

We use reasonable measures intended to protect data, and we require our subprocessors to protect Customer Data. Customers remain responsible for their account access, authorized users, and appropriate use of the Services.

8. Termination

We may suspend or terminate your access to the Services if you violate these Terms. You may cancel your subscription at any time through your account settings or by contacting us.

9. Limitation of liability

To the fullest extent permitted by law, WeCloseBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

10. Disclaimer

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Services, including output generated by AI features, will be uninterrupted, accurate, or error-free.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WeCloseBooks operates, without regard to conflict of law principles.

12. Changes to terms

We may revise these Terms at any time. The updated Terms will be posted on this page with a revised date. Continued use of the Services after changes constitutes acceptance.
